Terms of Service
Last updated: October 28, 2026
1. Scope
These terms apply to services provided by W.A.A.R. ("W.A.A.R.", "we", "us") to a client ("you"), including website design and development, paid advertising, and AI receptionist setup and support. Where a signed proposal or statement of work conflicts with these terms, the signed document takes precedence for that project.
2. Quotes and acceptance
Quotes are valid for 30 days and are based on the information available at the time. A project starts when we receive written acceptance and any deposit due. We may decline work that we cannot deliver well.
3. Fees and payment
- Projects are charged at a fixed price. A deposit of 50% is due before work begins, with the balance due before launch.
- Retainers for ads and AI receptionist support are billed monthly in advance and run on a 30-day written notice period.
- Invoices are payable within 15 days of the invoice date.
- All prices are in CAD and exclude taxes, advertising spend, third-party software and any items listed as excluded in the proposal.
- Late payment may pause work. We do not charge interest, but the invoice remains payable and work resumes once it is settled.
4. Changes to scope
Additional pages, features, integrations or rounds of revisions beyond those in the proposal are quoted and approved in writing before they are built. We do not add work to an invoice without agreement.
5. Client responsibilities
- Provide content, images, brand assets, access and approvals in a timely way, and confirm you have the rights to use what you supply.
- Nominate one decision-maker who can approve work on behalf of the business.
- Ensure anything we publish on your behalf is lawful in your market, including regulated claims and required disclosures.
6. Timelines
Dates are given in good faith and depend on approvals, feedback and content arriving on time. If a project is paused at your request for more than 60 days, we may re-quote the remaining work.
7. Intellectual property
On full payment, you own the final designs, page copy we wrote for you, and the custom code we produced for the project. We retain ownership of our pre-existing tools, components and methods, and grant you a perpetual licence to use them as part of the delivered work.
Third-party assets — fonts, stock images, plugins and platforms — are licensed to you under their own terms, and any licence fees are your responsibility unless the proposal says otherwise.
8. Third-party services
Websites, ads and AI receptionist services depend on third parties such as hosts, advertising platforms, calendar tools and voice providers. We are not responsible for their outages, policy changes or price changes, but we will tell you promptly and help you respond.
9. Ads and AI receptionist
We do not guarantee specific advertising results. Spend, cost per lead and return depend on your market, offer and budget. Media spend is paid directly by you to the platform unless agreed otherwise.
The AI receptionist is configured around the information you provide. You are responsible for the accuracy of prices, availability and service information, for telling callers that calls may be recorded where the law requires it, and for complying with call recording and AI disclosure rules in Québec. We test the line before go-live but cannot guarantee that it will never mishear a caller.
10. Confidentiality
Each party will keep the other's non-public information confidential and use it only for the project. We may describe the work publicly only with your written permission.
11. Liability
We provide our services with reasonable skill and care. To the extent the law allows, our total liability for any claim is limited to the fees paid for the service giving rise to the claim, and we are not liable for indirect or consequential loss, including lost profit or lost data. Nothing in these terms limits liability that cannot be limited by law.
12. Termination
Either party may end a project with 30 days' written notice. You remain liable for work completed and for third-party costs committed before termination. On termination we will hand over completed files and transfer accounts on payment of outstanding invoices.
13. Governing law
These terms are governed by the laws of Québec and the federal laws of Canada that apply there, and the courts of the district of Montréal, Québec have exclusive jurisdiction.
